1. Acceptance of Terms

By accessing or using the Spravek platform and services provided by Relentless Systems (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Services

Spravek is a multi-tenant SaaS platform designed for construction, trade, and service business operations. The Service includes project management, quoting, invoicing, scheduling, AI-powered assistance (“the Brain”), communications, CRM, and related business tools.

3. Account Registration and Security

You must register for an account to use the Service. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old to create an account. Each user account is for a single individual and may not be shared.

4. AI-Powered Features

The Service includes AI-powered features, including the Brain assistant, automated scheduling, document analysis, and AI-generated content. By using these features you acknowledge and agree that:

• AI-generated content is provided for informational purposes and should be reviewed before reliance
• AI outputs may occasionally be inaccurate, incomplete, or outdated
• Your interactions with AI features may be logged, reviewed, and used to improve the quality and safety of the Service
• You will not use AI features to generate content that is unlawful, harmful, deceptive, or infringes on the rights of others
• Do not share passwords, financial account numbers, social security numbers, or other sensitive personal information in AI conversations

5. Data Ownership

Your Data:You retain full ownership of all data you upload, create, or input into the Service (“Your Data”). You grant us a limited, non-exclusive license to host, process, and display Your Data solely to operate and improve the Service.

Our Service: We retain all rights, title, and interest in the Service, including all software, designs, text, graphics, and other intellectual property. These Terms do not grant you any rights to our trademarks or branding. We may use aggregated, anonymized data to improve our platform, but will never sell or share your identifiable data with third parties.

6. Multi-Tenant Isolation

The Service operates on a multi-tenant architecture. Your Data is logically isolated from other tenants. We implement row-level security and other measures to ensure tenant data separation. You acknowledge that while we employ industry-standard security practices, no system is completely impenetrable.

7. Payment Terms

Paid features are billed in accordance with the pricing plan selected at signup or as subsequently updated. All fees are non-refundable unless otherwise specified in writing or required by law. We reserve the right to change pricing with 30 days' advance notice. Failure to pay may result in suspension or termination of your account.

8. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems or other accounts
• Interfere with or disrupt our services or infrastructure
• Upload or transmit viruses, malware, or other malicious code
• Scrape, crawl, or use automated means to access the Service without written permission
• Resell, sublicense, or redistribute access to the Service without authorization
• Reverse-engineer, decompile, or attempt to extract source code from the Service
• Use the platform for any fraudulent purpose

9. Intellectual Property

The Spravek platform, including all software, designs, and content (excluding your data), is the intellectual property of Relentless Systems. You may not copy, modify, or distribute our proprietary technology without written permission.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELENTLESS SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

Either party may terminate the service agreement at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and all your data will be made available for export for 30 days, after which it will be permanently deleted.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Utah County, Utah.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
